1. Acceptance of Terms

By accessing or using the Tolly platform at trytolly.ai (the "Service"), including any associated applications, APIs, browser extensions, and add-ins, you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Definitions

  • "Tolly", "we", "us", or "our" refers to Tolly, Inc., the company operating the Service.
  • "Customer", "you", or "your" refers to the individual or entity using the Service.
  • "Organization" refers to a company, team, or group account created within the Service.
  • "User" refers to any individual who accesses the Service under a Customer's account.
  • "Meeting Data" refers to calendar event metadata, attendee information, meeting duration, and cost calculations processed by the Service.
  • "Subscription" refers to a paid plan that provides access to premium features of the Service.

3. Account Terms

You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service. The Service is designed for business use and is not intended for personal or consumer use.

Organization administrators are responsible for managing user access and ensuring that all users within their organization comply with these Terms.

You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Acceptable Use and Restrictions

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Reverse engineer, decompile, or disassemble any aspect of the Service.
  • Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems.
  • Use the Service to store or transmit malicious code, viruses, or harmful data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use automated means (bots, scrapers, etc.) to access the Service except through our published APIs.
  • Resell, redistribute, or sublicense the Service without our prior written consent.
  • Use the Service to monitor employees in a manner that violates applicable labor or privacy laws.

5. Data Processing and Privacy

The Service processes calendar metadata and organizational data to provide meeting cost intelligence insights. We process your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference.

You retain all rights to your data. We do not sell your data to third parties. We access your data solely to provide, maintain, and improve the Service.

For enterprise customers, we offer a Data Processing Agreement (DPA) upon request. Contact us at privacy@trytolly.ai for details.

6. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Tolly, Inc. and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms and your Subscription plan.

You may not use the Tolly name, logos, or trademarks without our prior written consent. Aggregated, anonymized data derived from the Service may be used by us to improve the Service, develop benchmarks, and publish industry insights, provided that such data does not identify you or your organization.

7. Billing and Payments

Certain features of the Service require a paid Subscription. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected.

All fees are stated in U.S. dollars and are non-refundable except as required by applicable law or as explicitly stated in these Terms. We reserve the right to change our pricing with 30 days' advance notice.

If payment fails, we will attempt to charge the payment method on file. If payment remains unsuccessful after 14 days, we may suspend or downgrade your account. You remain responsible for all unpaid fees.

Payments are processed through Stripe, Inc. By providing payment information, you agree to Stripe's Terms of Service.

8. Free Tier and Trials

We may offer a free tier or trial period for certain features. Free tiers and trials are provided "as is" and may be modified, limited, or discontinued at any time without notice.

At the end of a trial period, your account will automatically convert to a paid Subscription unless you cancel before the trial expires. We will notify you before the trial ends.

9. Termination

You may cancel your Subscription and close your account at any time through the Service's settings or by contacting us at support@trytolly.ai. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, during which time you may request an export of your data. After this period, your data will be permanently deleted.

10. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance, which will be communicated in advance whenever possible.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For material changes that negatively affect paid customers, we will provide at least 30 days' notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOLLY, INC., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to use) the Service;
  • Any conduct or content of any third party on the Service;
  • Unauthorized access, use, or alteration of your data;
  • Any inaccuracies in meeting cost calculations or intelligence reports.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Tolly does not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected. Meeting cost calculations are estimates based on the data you provide and should not be relied upon as the sole basis for financial decisions.

13. Indemnification

You agree to defend, indemnify, and hold harmless Tolly, Inc., its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any data you submit through the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation. If the dispute cannot be resolved within 30 days, either party may submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association, with the arbitration conducted in the State of Delaware.

Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property rights or confidential information.

15. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and any applicable DPA or Order Form, constitute the entire agreement between you and Tolly regarding the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

Notices. We may send notices to the email address associated with your account. You are responsible for keeping your email address current.
