Terms of Service

The terms that govern your use of the Tolly platform.

1. Acceptance of Terms

By accessing or using the Tolly platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. The Service

Tolly is a meeting cost intelligence platform that provides analytics, governance, and reporting tools to help organizations understand and manage their meeting spend. The Service includes the Tolly web application, Chrome Extension, browser add-ins, and associated APIs.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will make commercially reasonable efforts to notify you of material changes.

3. User Accounts

  • You must provide accurate, complete, and current information when creating an account
  • You are responsible for maintaining the confidentiality of your login credentials
  • You must notify us immediately of any unauthorized access to your account
  • You are responsible for all activity that occurs under your account
  • One person or organization may not maintain more than one free trial account

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit malicious code, viruses, or harmful data
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure
  • Use the Service to monitor individuals without appropriate authorization and disclosure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use automated tools to scrape, crawl, or extract data from the Service beyond permitted API usage
  • Resell, sublicense, or redistribute access to the Service without written consent

5. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is owned by Tolly and protected by intellectual property laws. You retain ownership of any data you provide to the Service. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service.

Aggregated, anonymized data derived from your usage may be used to generate industry benchmarks and improve our algorithms. Such data will never identify you or your organization.

6. Payment Terms

  • Paid plans are billed in advance on a monthly or annual basis as selected at the time of purchase
  • All fees are non-refundable unless otherwise stated or required by applicable law
  • We reserve the right to change pricing with 30 days' notice; existing subscriptions will be honored until the end of the current billing period
  • Failure to pay may result in suspension or termination of access to the Service
  • Free trials automatically expire at the end of the trial period unless you upgrade to a paid plan

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Meeting cost calculations are estimates based on the data provided and should not be used as the sole basis for financial decisions. Actual costs may vary.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Tolly and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

Our total aggregate liability for any claims arising out of or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Termination

You may terminate your account at any time by contacting us or through the account settings in the platform. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms or if we determine that your use poses a risk to the Service or other users.

Upon termination, your right to use the Service will cease immediately. We will retain your data for a period of 90 days after termination, during which you may request an export of your data. After 90 days, your data will be permanently deleted.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and, for active subscribers, by sending an email notification at least 30 days before the changes take effect. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
